Terms of Service

By creating an account or using ReviewReply ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms apply to all users, including businesses and their team members.

ReviewReply, Inc. ("ReviewReply", "we", "us", "our") reserves the right to modify these Terms at any time. We will provide at least 30 days notice of material changes via email. Continued use after the effective date constitutes acceptance.

ReviewReply is a software-as-a-service platform that connects to your Google Business Profile and other review platforms to: (a) import customer reviews, (b) generate AI-powered response suggestions using large language models, (c) post approved responses on your behalf, and (d) provide analytics and automation tools.

You must register for an account to use ReviewReply. You agree to: provide accurate, current, and complete information; maintain and update your account information; keep your password confidential; notify us immediately of any unauthorized use; and be responsible for all activity that occurs under your account.

You must be at least 18 years old to create an account. Accounts registered by bots or automated methods are prohibited.

You agree not to use ReviewReply to:

• Violate any applicable laws, regulations, or third-party rights
• Post false, misleading, or deceptive review responses
• Harass, defame, or threaten reviewers
• Attempt to manipulate, game, or artificially inflate review ratings on any platform
• Violate Google's, Yelp's, or any other platform's terms of service
• Reverse engineer, decompile, or attempt to extract source code from ReviewReply
• Transmit malware, viruses, or any harmful code
• Use the Service to build a competing product

ReviewReply uses AI language models to suggest review responses. You understand and agree that:

• AI suggestions are not guaranteed to be accurate, appropriate, or error-free
• You are solely responsible for reviewing and approving all responses before they are posted
• Posted responses represent your business and you are legally responsible for their content
• ReviewReply is not liable for any consequences resulting from AI-generated content you choose to post

ReviewReply integrates with Google Business Profile and other third-party platforms. By connecting these integrations, you authorize ReviewReply to access and interact with those platforms on your behalf. You remain responsible for compliance with each platform's terms of service.

Third-party platforms may change their APIs, policies, or availability at any time. ReviewReply is not responsible for disruptions caused by third-party platform changes.

ReviewReply is offered on a subscription basis. Fees are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as described in our refund policy.

We reserve the right to change pricing with 30 days notice. Continued use after the effective date constitutes acceptance of new pricing.

If payment fails, we will notify you and provide a grace period. Accounts with unpaid balances may be suspended or terminated.

Your use of ReviewReply is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using ReviewReply, you consent to the collection and use of data as described in the Privacy Policy.

ReviewReply and its original content, features, and functionality are owned by ReviewReply, Inc. and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of your business data and review content. By using ReviewReply, you grant us a limited license to process, store, and display your data solely to provide the Service.

You may cancel your account at any time from the Billing settings page. ReviewReply may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion with reasonable notice.

Upon termination, your right to access the Service ends immediately. We will provide a 30-day window to export your data before deletion.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIEWREPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
